Terms of Service

01Acceptance
These Terms of Service ("Terms") are a binding agreement between you and ARRWAY LTD, a company registered in England & Wales which operates Acousmos ("Acousmos", "we", "us"), covering the Acousmos application, website, and related services (together, the "Service"). By subscribing to, downloading, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
02The service
Acousmos is a local-first voice archive application for macOS (Apple Silicon, macOS 14 or later). Recordings, transcripts, and the archive are created and stored on your own device. The Service also includes the website, the download and licence infrastructure, and — on the Cloud plan — managed AI inference. We may improve, change, or discontinue features over time.
03Licence to use
Subject to these Terms and an active subscription, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use Acousmos for your own use. You receive a licence key by email; activate it in the app under Preferences → Licence. You may not resell, sublicense, or share licence keys, or attempt to circumvent licensing or usage limits.
04Subscriptions & billing
Acousmos is offered on a subscription basis through our payment processor. By subscribing you authorise recurring charges to your payment method at the then-current price for each billing period until you cancel. Prices are shown on the pricing page and may be exclusive of taxes, which are added where applicable. We may change prices for future billing periods with reasonable notice; the new price applies on your next renewal.
05Cancellation & refunds
You can cancel at any time through Acousmos subscription management where available, or by emailing support@acousmos.com from the address you paid with. When you cancel, your subscription stays active until the end of the current paid period and does not renew after that. Your local archive remains on your device regardless of subscription status.
If Acousmos does not work for you, contact us within 14 days of your first subscription payment and we will issue a good-faith refund of that payment. Renewal payments are generally non-refundable once the new period begins, since you can cancel beforehand to prevent renewal. Nothing here limits any non-waivable statutory refund or withdrawal rights you have as a consumer under the law of your country of residence.
06BYOK & Cloud
On the BYOK plan you supply your own third-party API keys. You are responsible for those accounts, their costs, and compliance with the providers' own terms; inference runs directly between your device and those providers, and we are not responsible for their availability, output, or charges.
On the Cloud plan we route inference on your behalf for normal individual use. We may apply reasonable fair-use limits to protect the Service and other users, and may contact you before restricting clearly excessive or automated usage.
Acousmos is an independent product. It is not affiliated with, endorsed by, or sponsored by OpenAI, Anthropic, Google, Deepgram, or any other third-party AI provider; all trademarks belong to their respective owners.
07Your content
Your recordings, transcripts, and archive are yours. We claim no ownership of them and do not use them to train models. Because the archive is stored on your device in an open, exportable format, you are responsible for backing it up and exporting it. To provide Cloud-plan inference you grant us a limited licence to process the relevant content solely to return the requested result, as described in the Privacy Policy.
08Acceptable use
You agree not to use the Service to:
- record or process anyone's voice without the consent or legal right required where you are — recording-consent and wiretap laws vary by jurisdiction and complying with them is your responsibility;
- break the law, infringe others' rights, or process content you have no right to;
- reverse-engineer, tamper with, or circumvent licensing, security, or usage controls, except where this restriction is prohibited by law;
- resell or redistribute the Service, or use it to build a competing product;
- overload, disrupt, or attempt unauthorised access to our infrastructure.
09Intellectual property
The Acousmos software, website, name, logo, and design are owned by ARRWAY LTD and protected by intellectual-property law. These Terms grant you a licence to use the Service, not any ownership of it. Your archive and its open data format remain yours and are not subject to this clause.
10Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law, including fitness for a particular purpose and uninterrupted or error-free operation. Acousmos is not a backup, archival-guarantee, or data-recovery service. Automated transcription and AI output may contain errors and should not be relied on as a sole record for decisions with legal, medical, or financial consequences.
11Liability
To the fullest extent permitted by law, Acousmos is not liable for indirect, incidental, special, or consequential damages, or for loss of data, profits, or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid for the Service in the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you, and nothing here excludes liability that cannot be excluded by law.
12Termination
You may stop using the Service and cancel at any time. We may suspend or terminate access if you materially breach these Terms or use the Service unlawfully. On termination your licence ends, but your local archive remains on your device and you keep the right to export it.
13Governing law & disputes
These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws rules, and the courts of England and Wales have non-exclusive jurisdiction over disputes. If you are a consumer, you also keep the benefit of any mandatory consumer-protection rules of your country of residence, and may bring proceedings there where the law gives you that right. We encourage you to contact us first so we can try to resolve any issue informally.
14Changes & contact
We may update these Terms as the Service evolves. Material changes will be posted here with a new "last updated" date and, for changes that significantly affect subscribers, communicated by email where reasonable. Continuing to use the Service after an update means you accept the revised Terms. If a provision is found unenforceable, the rest remains in effect.
